Roynat's Commitment

Roynat Capital (individually and/or collectively, "Roynat") respects your right to protect your personal information, such as your name, home and business addresses (both present and past), telephone numbers, e-mail addresses, financial and property information, indebtedness, credit history, business experience, résumé, personal net worth, insurance coverage and insurability, ability to be bonded, psychological information, references and your connections, both present and past, with other persons, firms or corporations ("Personal Information"). Roynat takes appropriate steps to ensure that the Personal Information provided to us is protected as set out in this Privacy Policy. The purpose of this Privacy Policy is to inform you about why we collect and how we use Personal Information, and to provide you with contact information should you have any questions or concerns about Roynat’s privacy practices.

Why Does Roynat Collect Personal Information?

Roynat is in the financial services business and provides and/or arranges, either directly or in syndication, traditional and non-traditional financing. Such financial services may include term loans, leases, subordinated debt or equity, the provision of strategic advice, assistance with management buy-outs, leveraged buy-outs and wealth management and other financial and business consulting services. Roynat’s corporate services include assisting companies to grow their businesses, finance and execute mergers, acquisitions and divestitures, restructure debt and equity capital or arrange strategic partnerships. Roynat may find it necessary to collect Personal Information in the provision of all of those services. Further, when Roynat syndicates or sells investments and loans, it may be required to share the Personal Information it has collected with other members of the syndicate or with the buyer, as the case may be.

How Does Roynat Collect Personal Information?

Roynat most often obtains Personal Information simply by asking for it. It may be contained in applications, letters, statements, reports and other documents or may be obtained verbally and recorded. In some cases, the Personal Information is obtained directly from the person. In other cases, it is obtained from third parties, such as regulatory, reporting or investigating agencies, brokers and agents, insurers, private lenders and investors, financial institutions, consultants or employers.

How does Roynat Use Personal Information?

Roynat may use your Personal Information for the following purposes:

  • arranging and completing transactions
  • investigation and due diligence in the context of a loan, lease or investment
  • providing strategic advice
  • syndicating loans or investments
  • making financial risk, credit risk or business risk decisions
  • selling investments, loans or leases or businesses or interests in any of them
  • responding to requests for information regarding Roynat products, services and pricing information
  • improving our products and services by better understanding the needs of the market
  • advising you of Roynat products or services that may be of interest to you

Disclosure of Your Personal Information

Roynat does not sell or trade your Personal Information. Roynat may provide its third party service providers with access to your Personal Information. These service providers may include: Internet service providers who administer our web pages and provide internet services, information technology and data processing services providers, financial research companies and other third parties that assist Roynat in understanding and communicating with its clients. Roynat may provide your Personal Information to third parties who wish to become involved in the syndication of a loan, lease or other investment in which your Personal Information is relevant or to third parties who are involved in risk assessment or due diligence in the context of a financial transaction or proposed financial transaction. If you are a guarantor of the indebtedness of a third party with which Roynat is doing business or if you are a principal of a third party for or in respect of which Roynat is performing services, then your Personal Information may be required to stay on record until it is no longer required for the purpose for which it was collected, and you may not have the right to withdraw it.

Roynat will only share your Personal Information to the extent required for the performance of the foregoing activities. Roynat will take steps to ensure that our service providers treat Personal Information in a way that is consistent with the terms of this Privacy Policy.

Roynat may also disclose your Personal Information as permitted or required by law. For example, Roynat will disclose Personal Information to those governmental bodies who have authority to obtain it, in order to comply with a warrant or subpoena issued by a court of competent jurisdiction, and to comply with record production requirements.

In the event of a sale of any the assets of Roynat or of a relevant third party for which Roynat is providing services, Roynat may transfer Personal Information in its control to a third party purchaser, on condition that the third party agrees to use that Personal Information for the same reasons identified in this Privacy Policy. In some cases, your Personal Information may be an important part of the security file that underpins the value of the asset being sold.

Your Consent

By choosing to provide Roynat with your Personal Information you are consenting to its use in accordance with the principles outlined in this Privacy Policy and as outlined at the time you are asked to provide any Personal Information. If you do not agree with these terms, you are requested not to provide Roynat with your Personal Information. For example, you may withdraw your Personal Information where it has not been disclosed and is not subject to any binding agreement that requires your Personal Information to be used or disclosed. Where a binding agreement has been entered into – for example, where you have become a guarantor for indebtedness or are the principal of a corporation for which Roynat has performed services – you may not be entitled to withdraw your Personal Information because withdrawal could negatively affect the value of an asset or of a company. Under such circumstances, you will not be able to withdraw your Personal Information. Further, certain services can only be offered if you provide Personal Information to Roynat; therefore if you choose not to provide us with required Personal Information Roynat may not be able to offer those services.

Withdrawing Your Consent

As mentioned, it may not be possible for you to withdraw your Personal Information once it has been given to us, because we may need to keep it on file in order to carry out the provisions of contracts with third parties. Subject to the foregoing, if you prefer that we do not use or disclose your Personal Information for any of the purposes outlined, including marketing purposes, you may let us know at the time of collection, or at any time by calling Roynat’s Chief Privacy Officer collect at 1-416-933-2730 or via email to cpo@roynat.com. Please note that if you do not consent to Roynat’s use and disclosure of your Personal Information, this may affect our ability to provide particular products and services.

Accessing Your Personal Information

You can access and review your Personal Information held by Roynat and make corrections to it. Please call our Chief Privacy Officer collect at 1-416-933-2730 or via e-mail to cpo@roynat.com. Roynat reserves the right not to change any Personal Information but may append to the record any alternative text you believe is appropriate. Roynat will endeavour to provide the information you require within a reasonable time and no later than 30 days following the request.

Retention of Your Personal Information

Roynat will only keep your Personal Information for as long as it is required for internal business purposes or for observance of contractual obligations or in order to satisfy various accounting, legal and regulatory requirements. When we no longer require your Personal Information, we will take steps to ensure that is destroyed, or that your personally identifiable information is removed so that the information can no longer be linked to you.
